NOVAGOLD Acquires Remaining 40% of Donlin Gold, Achieves 100% Ownership, Creates $4.2B Entity

According to Kitco News, NOVAGOLD reached definitive agreements on Wednesday to acquire Paulson Advisers LLC's remaining 40% interest in the Donlin Gold project in an all-share transaction, achieving 100% ownership of the Alaska asset. The transaction will create a U.S.-domiciled company with an equity value of approximately $4.2 billion. If approved by shareholders and regulators, the deal is expected to close in the fourth quarter of 2026. The consolidated structure is intended to streamline project financing and decision-making, with NOVAGOLD's CEO Greg Lang noting that the simplified entity will provide "greater market cap, greater liquidity, and simpler financing." Donlin Gold contains approximately 40 million ounces of measured and indicated resources and is projected to produce 1.3 million ounces annually during its first decade of operation.
